Our client, a premier law firm in Raleigh, is seeking a senior-level Corporate Paralegal to drive high-stakes transactional and operational workflows supporting up to six attorneys across mergers and acquisitions, venture capital, tech startups, and regulatory matters.

This role offers an exceptional opportunity to manage complex corporate entity lifecycles while leveraging an advanced legal tech stack in a modern hybrid work environment.

Core Responsibilities:

• Execute end-to-end corporate entity formations, foreign qualifications, governance amendments, and dissolutions.
• Drive M&A transactional support, including due diligence workflows, virtual data room (VDR) administration, and closing binder execution.
• Facilitate multi-state business licensing and compliance filings for highly regulated industries.
• Administer UCC filings, tax lien searches, and judgment tracking in collaboration with state agencies and vendors.
• Draft complex corporate governance documents, board resolutions, operating agreements, and legal consents.
