The Opportunity
A highly regarded law firm is seeking a proactive, senior-level Corporate Paralegal for its Raleigh office. This position provides critical operational and transactional support to a sophisticated corporate practice spanning mergers and acquisitions, venture capital, startups, securities, intellectual property, and specialized FDA/health product regulatory matters.
Core Responsibilities

Entity Lifecycle Management: Prepare and execute corporate formations, foreign qualifications, amendments, dissolutions, and withdrawals.

M&A Transactional Support: Direct due diligence workflows, organize virtual data rooms, draft ancillary closing documents, and manage closing binder assemblies.

Regulatory & Licensing Compliance: Research multi-state business licensing requirements and submit filings for regulated fields, including Architecture, Engineering, and Construction (AEC) firms.

Lien & Uniform Commercial Code (UCC) Filings: Coordinate with external vendors to order, track, and analyze UCC, judgment, and Federal tax lien searches.

Real Estate Collaboration: Provide cross-departmental assistance to commercial real estate attorneys with Secretary of State document preparations.

Document Architecture: Draft, proofread, format, and edit complex corporate resolutions, agreements, legal memoranda, and correspondence.

Information Governance: Maintain immaculate digital and physical filing structures to ensure seamless data collection and accurate record keeping.

Required Qualifications

Experience: 5+ years of dedicated experience functioning as a Corporate Paralegal within a law firm or corporate legal department.

Procedural Literacy: Robust understanding of corporate entity structures, transactional closing mechanics, and regulatory compliance protocols.

Technical Ecosystem: Deep proficiency in Office 365, NetDocuments, Adobe Acrobat, and DocuSign.

Credentials: Associate or Bachelor’s degree in Paralegal Studies highly preferred; North Carolina State Bar Paralegal Certification preferred.
